Rules governing the use of our SharePoint consulting and cloud workflow services.

Service Description and Scope

SharePoint Ecosystem IT Consulting & Cloud Workflow provides intranet architecture, document filing structure design, cloud storage optimization, and access permission management for Irish companies. Our services are delivered remotely and on-site in the Munster region.

Engagements are defined by a written statement of work that specifies deliverables, timelines, and responsibilities. Any work outside the agreed scope requires a separate written amendment.

Client Responsibilities

You agree to provide accurate and complete information about your existing IT environment, user base, and business processes. Delays caused by incomplete or inaccurate information may affect project timelines and costs.

  • Grant necessary administrative access to SharePoint and Microsoft 365 environments.
  • Designate a primary contact who can make decisions on behalf of your organisation.
  • Ensure compliance with your own data protection and internal approval procedures.
Intellectual Property and Data

All pre-existing intellectual property remains the property of the respective owner. Deliverables created specifically for your engagement, such as site templates, permission matrices, and documentation, are licensed for your internal use only.

We do not claim ownership over your business data. We will not access, copy, or transmit your data except as necessary to perform the agreed services. Upon termination, we will return or destroy any client data in our possession within 30 days, unless otherwise required by law.

Limitation of Liability

Our liability for any claim arising from this agreement is limited to the total fees paid for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits, data loss, or business interruption, even if advised of the possibility.

This limitation does not apply in cases of gross negligence, wilful misconduct, or where prohibited by applicable law.

Termination

Either party may terminate an engagement with 14 days written notice. In the event of a material breach that remains uncured for 14 days after written notice, the non-breaching party may terminate immediately.

Upon termination, you must pay for all services rendered up to the effective date. Any provisions that by their nature should survive termination, including limitation of liability and intellectual property clauses, will remain in effect.

Changes to These Terms

We may update these terms from time to time. Material changes will be communicated via email to the primary contact on file. Continued use of our services after the effective date of the changes constitutes acceptance of the updated terms.
